1. General Provisions

1.1. These Terms and Conditions of Purchase and Sale (hereinafter referred to as the “Terms”) constitute a legally binding document for the Parties, establishing the rights, obligations, and liabilities of the Buyer and the Seller when the Buyer purchases goods from the online store.

1.2. The Seller reserves the right to amend, revise, or supplement these Terms at any time in accordance with applicable legal requirements. The Buyer shall be informed of such changes on the online store website. The Terms in force at the time the order is placed shall apply to the Buyer’s purchase.

1.3. The following persons are entitled to purchase goods from the online store:

1.3.1. Natural persons with full legal capacity, i.e. persons who have reached the age of majority and whose legal capacity has not been restricted by a court;

1.3.2. Minors aged 14 to 18, provided they have the consent of their parents or guardians, except where they independently dispose of their own income;

1.3.3. Legal entities;

1.3.4. Authorised representatives of all the persons listed above.

1.4. By approving these Terms, the Seller also confirms that, in accordance with Clause 1.3, the Buyer is entitled to purchase goods from the online store.

1.5. A contract between the Buyer and the Seller shall be deemed concluded when the Buyer has added goods to the shopping cart in the online store, entered the delivery address, selected the payment method, reviewed the Seller’s Terms, and clicked the “Confirm Order” button (see Section 5, “Product Orders, Prices, Payment Procedures and Deadlines”).

1.6. Each contract concluded between the Buyer and the Seller shall be stored in the online store.

2. Personal Data Protection

2.1. The Buyer may order goods from the online store:

2.1.1. By registering with the online store and entering the information requested in the registration form;

2.1.2. Without registering with the online store.

2.2. When ordering goods using either of the methods specified in Clause 2.1, the Buyer must provide the personal data necessary to fulfil the order in the relevant fields provided by the Seller. This includes the Buyer’s first name, surname, delivery address, telephone number, and email address.

2.3. By accepting these Terms, the Buyer agrees that the personal data provided under Clause 2.2 may be processed for the purposes of selling goods and services through the online store, analysing the Seller’s business activities, and conducting direct marketing.

2.4. By consenting to the processing of personal data for the purpose of purchasing goods and services through the Seller’s online store, the Buyer also agrees to receive notifications necessary for order fulfilment at the email address and telephone number provided by the Buyer.

2.5. When registering with the online store and ordering goods, the Buyer undertakes to keep their login credentials secure and not disclose them to anyone.

3. Rights and Obligations of the Buyer

3.1. The Buyer has the right to purchase goods from the online store in accordance with these Terms and the procedures specified in other information sections of the online store.

3.2. The Buyer has the right to withdraw from a purchase and sale agreement concluded with the online store by notifying the Seller in writing (by email), specifying the product they wish to return and the order number, no later than 14 (fourteen) working days from the date of delivery, except in cases where withdrawal from the agreement is not permitted under the laws of the Republic of Lithuania. This provision refers to Order No. 217 of the Minister of Economy of the Republic of Lithuania dated 29 June 2001, “On the Approval of the Rules for the Return and Exchange of Goods”.

3.3. The Buyer may exercise the right specified in Clause 3.2 only if the goods have not been damaged, their appearance has not substantially changed, and they have not been used.

3.4. The Buyer undertakes to accept the ordered goods and pay the agreed price.

3.5. If any information provided in the Buyer’s registration form changes, the Buyer must update it without delay.

3.6. The Buyer undertakes not to disclose their login credentials to third parties. If the Buyer loses their login credentials, they must immediately inform the Seller using the contact details provided in the “Contact” section.

3.7. By using the online store, the Buyer agrees to these Terms and Conditions of Purchase and Sale and undertakes to comply with them and the laws of the Republic of Lithuania.

4. Rights and Obligations of the Seller

4.1. The Seller undertakes to provide the Buyer with all the conditions necessary to use the services offered by the online store properly.

4.2. If the Buyer attempts to compromise the stability or security of the online store or breaches their obligations, the Seller has the right to immediately restrict or suspend the Buyer’s access to the online store without prior notice or, in exceptional cases, cancel the Buyer’s registration.

4.3. The Seller undertakes to respect the Buyer’s right to privacy concerning the personal information provided in the online store registration form.

4.4. The Seller undertakes to deliver the goods ordered by the Buyer to the delivery address specified by the Buyer.

5. Product Orders, Prices, Payment Procedures and Deadlines

5.1. The Buyer may shop in the online store 24 hours a day, 7 days a week.

5.2. The agreement becomes effective when the Buyer clicks the “Confirm Order” button and the Seller receives and confirms the order by sending a confirmation email to the email address provided by the Buyer.

5.3. Prices displayed in the online store and in the completed order are stated in euros and include VAT.

5.4. The Buyer may pay for the goods using one of the following methods:

5.4.1. Electronic banking. This is an advance payment made through the Buyer’s electronic banking system. To use this payment method, the Buyer must have an electronic banking agreement with one of the banks listed below, including SEB, Swedbank, Luminor, Citadele, or other supported banks. The Buyer transfers the money to the online store’s bank account. Responsibility for the security of the data rests with the relevant bank, as all financial transactions take place within the bank’s electronic banking system.

5.4.2. Bank transfer. This is an advance payment method whereby the Buyer prints out the order and transfers the money to the online store’s bank account, either by visiting the nearest bank branch or using an available bank transfer service.

5.5. The Buyer undertakes to pay for the goods immediately. The preparation of the shipment begins, and the delivery period starts to run, only after payment for the goods has been received.

6. Product Delivery

6.1. When selecting a delivery service during the ordering process, the Buyer undertakes to provide the correct delivery address.

6.2. The Buyer undertakes to accept the goods personally. If the Buyer is unable to accept the goods personally but the goods are delivered to the specified address, the Buyer shall not be entitled to make claims against the Seller on the grounds that the goods were delivered to an incorrect recipient.

6.3. The goods shall be delivered by the Seller or an authorised representative of the Seller (courier).

6.4. The Seller shall deliver the goods to the Buyer within the timeframes specified in the product descriptions. These timeframes are estimates and do not apply where the required goods are unavailable in the Seller’s warehouse, provided that the Buyer is informed of the shortage. The Buyer also acknowledges that, in exceptional circumstances, delivery may be delayed due to unforeseen circumstances beyond the Seller’s control. In such cases, the Seller undertakes to contact the Buyer without delay and agree on the conditions for delivery.

6.5. In all cases, the Seller shall be released from liability for failure to meet delivery deadlines if the goods are not delivered or are delivered late due to the Buyer’s fault or circumstances beyond the Seller’s control.

6.6. The Buyer must immediately notify the Seller if the parcel is delivered in crushed or otherwise damaged packaging, if the parcel contains goods that were not ordered, if the quantity of goods is incorrect, or if any components are missing.

6.7. If the Buyer notices any damage to the packaging at the time of delivery, the Buyer must record the damage in the delivery document provided by the courier or prepare a separate damage report. This must be done in the presence of the courier. If the Buyer fails to do so, the Seller shall be released from liability to the Buyer for damage to the goods associated with packaging damage that was not recorded in the courier’s delivery document.

7. Product Quality and Warranty

7.1. Information about each product sold in the online store is provided in the description accompanying that product.

7.2. The Seller shall not be liable for differences between the colours, shapes, dimensions, or other characteristics of goods displayed in the online store and the actual goods where such differences result from the characteristics of the Buyer’s display or monitor.

7.3. The Seller provides a quality warranty for certain types of goods for a specified period. The applicable warranty period and other conditions are indicated in the descriptions of those goods.

7.4. Where the Seller does not provide a separate quality warranty for certain goods, the warranty provided for by the applicable legislation shall apply.

8. Product Returns and Exchanges

8.1. Returns of goods purchased by the Buyer shall be governed by the Civil Code of the Republic of Lithuania, Order No. 258 of the Minister of Economy of the Republic of Lithuania dated 17 August 2001, “On the Approval of the Rules for the Sale of Goods and Provision of Services Where Contracts Are Concluded Using Means of Communication”, and Order No. 217 of the Minister of Economy of the Republic of Lithuania dated 29 June 2001, “On the Approval of the Rules for the Return and Exchange of Goods”, except in cases where withdrawal from the agreement is not permitted under Lithuanian law.

8.2. To return goods under Clause 8.1, the Buyer may do so within 14 (fourteen) working days from the date of delivery by contacting the Seller using the contact details provided in the “Contact” section. The Buyer must specify the name of the product being returned, the order number, and the reason for the return.

8.3. When returning goods, the Buyer must comply with the following conditions:

8.3.1. The returned goods must be in their original, undamaged packaging.

8.3.2. The goods must not have been damaged by the Buyer.

8.3.3. The goods must be unused and retain their original commercial appearance, including intact labels, protective films, and other protective elements. This requirement does not apply when returning defective goods.

8.3.4. The goods must be returned complete, with all components and accessories included when received. Any warranty card issued with the goods must also be returned.

8.3.5. Proof of purchase must be provided when returning the goods.

8.4. The Seller reserves the right to refuse returned goods if the Buyer fails to comply with the return procedure specified in Clause 8.3.

8.5. If the Buyer receives an incorrect or defective product, the Seller undertakes to collect the product and replace it with an equivalent product in proper condition.

8.6. If the Seller does not have a suitable replacement product available in the circumstances described in Clause 8.5, the amount paid by the Buyer shall be refunded, excluding the delivery charge, except for the cases specified in Clause 8.5.

8.7. In all cases, refunds for returned goods shall be transferred only to the payer’s bank account.

8.8. In all cases, the Buyer shall return the goods to the Seller’s registered office at the Buyer’s own expense.

9. Liability of the Buyer and the Seller

9.1. The Buyer is fully responsible for the accuracy of the personal data they provide. If the Buyer provides incorrect personal data in the registration form, the Seller shall not be liable for any resulting consequences and shall have the right to claim compensation from the Buyer for any direct losses incurred.

9.2. The Buyer is responsible for all actions performed while using the online store.

9.3. A registered Buyer is responsible for ensuring that their login credentials are not disclosed to third parties. If a third party uses the online store’s services by logging in with the Buyer’s credentials, the Seller shall consider that person to be the Buyer.

9.4. The Seller shall be released from liability for any losses arising where the Buyer fails to familiarise themselves with these Terms, despite having been given the opportunity to do so, and acts contrary to the Seller’s recommendations or the Buyer’s obligations.

9.5. If the Seller’s online store contains links to websites operated by other companies, institutions, organisations, or individuals, the Seller shall not be responsible for the information or activities on those websites, does not maintain or control those websites, and does not represent those companies or individuals.

9.6. If damage occurs, the Party at fault shall compensate the other Party for direct losses.

10. Marketing and Information

10.1. The Seller may organise various promotions in the online store at its discretion.

10.2. The Seller has the right to unilaterally change the terms of promotions or cancel them without separate prior notice. Any changes to promotional terms or cancellation shall apply prospectively, from the moment the change or cancellation takes effect.

10.3. The Seller shall send all notices using the contact details provided in the Buyer’s registration form.

10.4. The Buyer shall send all notices and enquiries to the telephone numbers and email addresses provided in the “Contact” section of the Seller’s online store.

10.5. The Seller shall not be liable if the Buyer does not receive informational or confirmation messages due to internet connection problems or disruptions in the networks of email service providers.

11. Final Provisions

11.1. These Terms and Conditions of Purchase and Sale have been prepared in accordance with the laws and regulations of the Republic of Lithuania.

11.2. Any disputes arising from the implementation of these Terms shall be resolved through negotiations. If the Parties are unable to reach an agreement, the disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
